1. Provider, Scope and Definitions

1.1 The provider / contracting party for orders placed via the online shop www.jadecouture.ch is Jade Couture GmbH, Seestrasse 123, 9326 Horn TG, Switzerland (hereinafter “Jade Couture” or “we”).
1.2 These GTC apply to all orders placed by customers (“Customer” or “you”) via our online shop.
1.3 Our offer is intended exclusively for end customers (B2C), i.e. natural persons who purchase goods predominantly for private or family use. Orders for commercial resale purposes are not intended; we reserve the right to limit order quantities or to reject orders.
1.4 Deviating or supplementary terms of the customer shall not apply unless we expressly agree to them in writing.
1.5 By submitting an order, you confirm that you have read and accept these GTC.
1.6 As a rule, orders are only intended for adults (at least 18 years of age). Minors may only order with the consent of their legal representative.

2. Offer in the Online Shop and Conclusion of Contract

2.1 The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation to the customer to submit an offer (invitatio ad offerendum). Product and assortment changes as well as errors (e.g. price, text or image errors) remain reserved.
2.2 By clicking the order button (“order with obligation to pay” or similar) you submit a binding offer to conclude a purchase contract for the goods contained in the shopping cart.
2.3 After submitting the order, you will usually receive an automatic order confirmation by e-mail. This order confirmation only documents receipt of your order and does not yet constitute acceptance of your offer.
2.4 The contract is concluded only when we expressly accept your offer, in particular by:
a) dispatch/order confirmation (e.g. by e-mail), or
b) dispatch of the goods.
2.5 We reserve the right to reject orders without stating reasons, in particular in the event of lack of availability, suspicion of misuse, unusual order quantities or if payment processing fails.
2.6 If, exceptionally, an ordered item cannot be delivered (e.g. due to unavailability), we will inform you immediately. Payments already made will be refunded in this case; further claims do not exist to the extent permitted by law.

3. Customer Account (if available)

3.1 Orders may – depending on how the shop is designed – be possible with or without a customer account. If you create a customer account, you are obliged to keep the access data confidential and protect it from access by third parties.
3.2 Information in the customer account must be kept up to date. You bear any disadvantages resulting from incorrect information (e.g. incorrect delivery address).

4. Products, Information and Reasonable Deviations

4.1 Product descriptions, size information and images are for information purposes. Minor deviations, in particular colour deviations (e.g. screen display), material or series-related deviations as well as customary tolerances shall – insofar as reasonable – not constitute a defect.
4.2 Care and usage instructions (labels, product page) must be observed. Damage resulting from improper handling or non-observance of care instructions shall not be deemed a defect.
4.3 If you have known allergies/intolerances, we recommend checking the material and care information before use. Individual compatibility cannot be guaranteed; mandatory liabilities (e.g. in the event of product defects) remain unaffected.

5. Prices and Shipping Costs

5.1 The prices displayed in the online shop at the time of the order shall apply. The prices displayed are final prices in the currency shown in the shop; any shipping costs are shown separately during the ordering process and must be borne by the customer unless expressly stated otherwise.
5.2 For deliveries outside Switzerland, additional charges may apply (e.g. customs duties, import VAT/value-added tax, handling fees). Such charges are generally borne by the customer and must be paid by the customer directly to the competent authorities or service providers.
5.3 We reserve the right to change prices. The price at the time of the order shall apply to the customer. Obvious errors (e.g. an obviously incorrect price) entitle us – after informing the customer – to cancel the order or to correct it and request renewed confirmation of the order. Amounts already paid will be refunded in this case.

6. Payment

6.1 Payment is made exclusively using the payment methods offered in the online shop (e.g. TWINT, credit card, Apple Pay or other direct payment methods). Purchase on account is not offered.
6.2 The purchase price incl. shipping costs is due immediately upon conclusion of the contract. Delivery is generally made only after successful receipt of payment or payment authorisation.
6.3 We may use third-party providers (payment service providers) for payment processing. Their terms and conditions apply in addition; however, the purchase contract for the goods is concluded between you and Jade Couture.
6.4 In the event of failed payment, chargeback or unjustified reversals of payment, we reserve the right to suspend delivery, withdraw from the contract or claim additional costs to the extent permitted by law.

7. Delivery, Delivery Area, Shipping and Transfer of Risk

7.1 Delivery area: We generally deliver worldwide, except (a) the USA and Canada and (b) war and crisis areas and/or countries/regions to which shipping is not offered at checkout. The list of delivery countries selectable in the ordering process is decisive.
7.2 Deliveries are made to the delivery address specified by the customer during the ordering process. The customer is responsible for the accuracy and completeness of the information.
7.3 Shipping costs, shipping service providers and delivery times are displayed in the online shop or at checkout. Information on delivery times is non-binding unless expressly designated as binding.
7.4 Partial deliveries are permitted insofar as reasonable for the customer.
7.5 We are not liable for delays that are outside our sphere of influence (e.g. delays caused by transport companies, customs clearance, force majeure, strikes). The customer will be informed where possible.
7.6 If shipments cannot be delivered due to an incorrect address, refusal of acceptance or failure to collect, Jade Couture may cancel the order. Any additional costs (e.g. return shipping costs, re-shipping) may be charged to the customer.
7.7 Benefits and risk pass upon delivery of the goods to you or a person authorised by you. If you grant the shipping service provider permission to leave the parcel, the risk passes upon the confirmed deposit/hand-over according to the shipping service provider. Mandatory consumer protection provisions in the country of destination remain reserved.

8. No Right of Return/Exchange; Cancellation

8.1 As a rule, Jade Couture does not grant a voluntary right of return, exchange or withdrawal for goods free of defects. Orders are binding once the contract has been concluded.
8.2 Cancellation by the customer is generally excluded after conclusion of the contract. As a gesture of goodwill, we may accept a cancellation in individual cases, provided the goods have not yet been dispatched. There is no legal entitlement to cancellation.
8.3 Mandatory statutory claims of the customer, in particular in the event of defects, incorrect deliveries or transport damage, remain reserved (see clause 9).

9. Warranty, Notice of Defects and Procedure in the Event of Complaints

9.1 The customer must inspect the goods as soon as reasonably possible after receipt. Obvious defects or incorrect deliveries must be notified to us in writing as soon as possible, generally within 7 days of receipt (e.g. by e-mail as per the contact details in the online shop/legal notice). Hidden defects must be reported immediately upon discovery.
9.2 Without timely notice of defects, the goods shall be deemed approved within the framework of the statutory provisions, to the extent permitted by law.
9.3 In the event of a complaint, Jade Couture may request photos, a description of the defect and proof of purchase from the customer. Returns are made exclusively after prior coordination and to the return address provided by Jade Couture.
9.4 The statutory warranty provisions of the Swiss Code of Obligations (OR) apply. For consumers, the limitation period for warranty claims for new goods is generally two years from delivery; this period is not shortened by these GTC.
9.5 Jade Couture will review complaints properly and – where a warranty case exists – will, where possible, offer an appropriate solution (in particular replacement delivery or, where reasonable/appropriate, repair). If replacement delivery/repair is impossible or disproportionate, the customer is entitled to the statutory rights (e.g. price reduction or rescission) in accordance with the applicable law.
9.6 In particular, there is no defect in the event of (a) normal wear and tear, (b) damage due to improper handling, storage or care, (c) non-observance of care/washing instructions, (d) minor, reasonable deviations pursuant to clause 4.
9.7 If a warranty case exists and a return is required, we will bear the reasonable, proven return shipping costs, provided the return was coordinated with us in advance and the cheapest customary shipping method is used. Further costs shall be borne by the customer.

10. Liability

10.1 To the extent permitted by law, Jade Couture is liable without limitation for damage caused by wilful intent or gross negligence, as well as for personal injury.
10.2 In the case of slight negligence, Jade Couture is liable – to the extent permitted by law – only for direct, foreseeable and typical contractual damage; liability for indirect damage, consequential damage and loss of profit is excluded to the extent permitted by law.
10.3 Mandatory liability (e.g. product liability under applicable law) remains unaffected.
10.4 Jade Couture is not liable, to the extent permitted by law, for disruptions of performance or damage caused exclusively by third parties (e.g. transport companies, payment service providers).

11. Retention of Title

11.1 Until all claims arising from the purchase contract have been paid in full, the delivered goods remain the property of Jade Couture to the extent legally permissible.

12. Data Protection

12.1 Personal data is processed in accordance with our privacy policy, available via the online shop.

13. Intellectual Property

13.1 All content of the online shop (texts, images, logos, designs, etc.) is protected by copyright and/or trademark law. Any use outside the legally permitted limits requires Jade Couture’s prior written consent or that of the respective rights holders.

14. Changes to these GTC

14.1 Jade Couture may amend these GTC at any time. The version published in the online shop or incorporated into the ordering process at the time of the order shall apply.

15. Applicable Law and Place of Jurisdiction

15.1 Substantive Swiss law shall apply to these GTC and the contractual relationship between Jade Couture and the customer. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
15.2 Mandatory consumer protection provisions of the state in which the customer has their habitual residence remain reserved, if applicable.
15.3 The place of jurisdiction is – to the extent permitted by law – Horn (Thurgau), Switzerland. Mandatory places of jurisdiction (in particular for consumers) remain reserved.

16. Final Provisions

16.1 Should individual provisions of these GTC be wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The statutory provision shall replace the invalid provision.
16.2 There are no oral side agreements. Amendments and supplements must be made in writing, to the extent permitted by law.
